REGISTERED OFFICE ADDRESS

As per section 12 of the Companies Act 2013, a Company must have a Registered Office Address in order to receive and acknowledge all the communications and notices.
  • Every Company is required to paint or affix its Name and Address of its Registered Office, painted or affixed on the outside of every office or place in which its business is carried out.
  • Every Company is required to get its name, the address of its Registered Office, Corporate Identification Number along with Telephone Number, Fax Number if any, email Id and website address printed in all its business letters, bill-heads, letter papers and in all its notices and other official publications.
  • In case of change of name of the Company: In case a Company has changed its name during the last 2 years, the New Name along with its old name needs to be painted or affixed at the Registered Office Address of the Company.

Change of Registered Office Address within the same City / Town / Village

In case of change of Registered Office Address is within the local limits of the same City, Town or Village, notice of every such change is required to be intimated in the prescribed form to the Registrar of Companies within 30 days of the change. Here are the compliances for shifting of registered office address within the same city / town / village:

  • Board Resolution is required to be passed.
  • Compulsory Documents that are required to be furnished to the ROC:
    - Proof of Registered Office Address (Conveyance Deed / Lease Deed / Rent Agreement, etc.)
    - Utilities Bill not older than 2 months
    - A proof that the Company is permitted to the use the address as the Registered Office Address.
  • Notice of such change is required to be filed with the ROC within 30 days of passing of Board resolution.
  • New Registered Office Address needs to be printed on all its letterheads.
  • The Company needs to display its name and new Registered Office Address outside its New Registered Office Address.

Change outside the City, Town or Village but within the jurisdiction of the same Registrar of Companies & State

When there is a change in the Registered Office Address, which is outside the city, town or village but within the jurisdiction of the same Registrar of Companies, the Company is required to conduct an Extra-ordinary General Meeting and obtain approval of Members of the Company by way of passing of a Special Resolution for approval of shifting of registered office outside the city town or village, but within the jurisdiction of the same Registrar of Companies.

  • Board Resolution and Special Resolution by members is required to be passed.
  • Compulsory Documents that are required to be furnished to the ROC:
    - Proof of Registered Office Address (Conveyance Deed / Lease Deed / Rent Agreement, etc.)
    - Utilities Bill not older than 2 months
    - A proof that the Company is permitted to the use the address as the Registered Office Address.
  • Intimation in regard to passing of special resolution and notice of such change is required to be filed with the ROC within 30 days of approval of members of the Company.
  • New Registered Office Address needs to be printed on all its letterheads.
  • The Company needs to display its name and new Registered Office Address outside its New Registered Office Address.

Change outside the city, town or village and also outside the Registrar of Companies, but within the same State

When there is a change in the Registered Office Address, which is outside the city, town or village and is also outside the jurisdiction of the Registrar of Companies, but within the same State, an approval is required to be obtained from the Regional Director in the prescribed manner.

  • Board Resolution and Special Resolution by members is required to be passed.
  • Intimation in regard to passing of special resolution is required to be filed with the ROC within 30 days of passing of special resolution.
  • An approval is required to be obtained from the Regional Director.
  • An approval received from the Regional Director is required to be furnished to the ROC within 30 days from the date of the order received.
  • The Registrar shall grant a Certificate in regard to such change.
  • New Registered Office Address needs to be printed on all its letterheads.
  • The Company needs to display its name and new Registered Office Address outside its New Registered Office Address.

Shifting of the Registered Office Address from one State to another

When there is shifting of the Registered Office Address from one State to another, the Memorandum of Association is required to be altered. In all other cases, Memorandum of Association is not required to be altered.

 An approval is required to be obtained from the Regional Director in the prescribed manner. Here are the compliances for shifting of Registered Office Address from One state to another:

  • Board Resolution and Special Resolution by members is required to be passed for the following:
    - Shifting of Registered Office from one state to another;
    - Alteration of Memorandum of Association;
    - Calling of Extra-ordinary General Meeting
    - Authorising Directors to apply to Regional Director for approval of shifting of Registered Office from one state to another
  • Intimation in regard to passing of special resolution and alteration of Memorandum of Association is required to be filed with the ROC within 30 days of passing of special resolution.
  • An advertisement in Vernacular Newspaper in the Vernacular Language in the district and English language in an English Newspaper with the widest circulation in the state in which the Registered Office of the Company is situated.
  • Notice to debenture holders, if any and creditors is required to be given by way of Registered post with acknowledgement due.
  • Notice to the Registrar and the SEBI, in case applicable (for Listed Company / Regulatory Body) is required to be given by way of Registered post with acknowledgement due.
  • An application is required to be made to the Regional Director along with the requisite annexures (as mentioned above).
  • An approval received from the Regional Director is required to be furnished to the ROC of both the States in prescribed form within 30 days from the date of receipt of the order.
  • Notice of such change is required to be filed with the ROC in another prescribed form within 30 days from the date of receipt of the order.
  • New Registered Office Address needs to be printed on all its letterheads.
  • The Company needs to display its name and new Registered Office Address outside its New Registered Office Address.
