CONFIDENTIALITY POLICY

“Confidential Information” means all non-public, proprietary, confidential documents and other materials furnished to StructuredBiiz Services Private Limited (StructuredBiiz.com / Structured Biiz) or its Representatives (as defined below) by you, as well as those portions of written notes, analyses, reports, compilations, documents or studies prepared by Structuredbiiz.com that contain or are derived from such information furnished by you. Confidential Information excludes information that

  1. was already in the possession of Structuredbiiz.com or its Representatives (as defined below) before being disclosed by you to StructuredBiiz.com,
  2. is or becomes available to the public other than as a result of a disclosure by Structuredbiiz.com in violation of this Confidentiality Policy or
  3. is or becomes available to Structuredbiiz.com or its Representatives (as defined below) from a third party not known by Structuredbiiz.com to be in breach of any legal or contractual obligation not to disclose such information to Structuredbiiz.com;
  4. is already available on public domain;
  5. is no longer Confidential Information as described herein.

NON-DISCLOSURE

Structuredbiiz.com agrees not to disclose such Confidential Information, except

  1. to its affiliates and its and their managing directors, officers, directors, employees and advisors who are involved in serving the Client, or who Structuredbiiz.com determines otherwise need to know such information (collectively, the “Representatives”) for providing the requisite services;
  2. pursuant to legal process or a civil investigative demand (or similar process), rule, request, order, statute, or other legal or similar requirement made, promulgated or imposed by a court or by a judicial, regulatory, self-regulatory (including stock exchange) or legislative body, organisation, commission, agency or committee or otherwise in connection with any judicial or administrative proceeding (including, in response to oral questions, interrogatories or requests for information or documents) in which Structuredbiiz.com or any of its affiliates is involved.

Any Personal data collected like Name, Phone No. and Email shared by the Clients while booking the services online shall be strictly utilised only for notifying the clients of the progress of the service and for marketing purpose exclusive to the services provided by Structuredbiiz.com. In any circumstances, the confidential information or personal data shall not be shared with any third party marketing agencies. In the event that Structuredbiiz.com receives a request to disclose any Confidential Information in accordance with the provision (ii) of the immediately preceding paragraph, it will, to the extent practicable and if lawfully permitted to do so,

(a) promptly notify the Client thereof,

(b) consult the Client on the advisability of taking steps,

(c) if disclosure is required or deemed advisable, cooperate with you in any attempt that you may make to obtain an order or other reliable assurance that confidential treatment will be accorded to designated portions of the Confidential Information. StructuredBiiz shall be entitled to reimbursement of its expenses, including the fees and expenses of its counsel, in connection with the action taken pursuant to this paragraph.

Structuredbiiz.com shall not use the information provided by the Client in such a way as to circumvent any of their commercial dealings or do anything as to put them at a commercial disadvantage.

This Policy may be amended or waived only in writing signed by StructuredBiiz.com and you.
