ROC Compliances - After Incorporation

Particulars of Compliances

  • Firstly, PAN needs to be obtained by LLP. Thereafter, Bank Account needs to be opened and the Capital Contribution needs to be deposited in the Current Account of the LLP.

Timeline

Section under the LLP, 2008 & the rules framed thereunder

  • Filing of DIR KYC Form of a Director (Web DIR KYC, in case DIR KYC Form is already submitted). Ministry of Corporate Affairs has integrated DIN issued under the Companies Act, 2013 with the DPIN issued under the LLP Act. 2008. Hence, an individual having DIN (or DPIN) needs to comply with DIR KYC as well.
  • Before 30th September of immediately next financial year
  • Rule 12A of the Companies (Appointment & Qualification of Directors) Rules, 2014)

ROC Compliances - Annually

Particulars of Compliances

  • Filing of Annual Return for the financial year 1st April till 31st March in prescribed Form 11.

Timeline

  • Within 60 days of the end of the financial year i.e., 30th May.

Section under the LLP, 2008 & the rules framed thereunder

  • Rule 25(1) of the LLP Rules, 2009.
  • Filing of Statement of Account & Solvency in prescribed Form 8.
  • Filing of Statement of Account & Solvency
  • Filing of DIR KYC Form of a Director
  • Within 30 days of the end of the 6 months of the closure of the financial year i.e., 30th October.
  • Rule 24 of the LLP Rules, 2009.
  • Filing of DIR KYC Form of a Director (Web DIR KYC, in case DIR KYC Form is already submitted)
  • Before 30th September of immediately next financial year
  • Rule 12A of the Companies (Appointment & Qualification of Directors) Rules, 2014).
